Terms of Service

Welcome to Jackob.ai. These Terms of Service ("Terms") constitute a legally binding agreement between you and Jackob.ai ("Company," "we," "us," or "our") governing your use of our AI-powered audio and video transcription services.

By creating an account, accessing, or using Jackob.ai, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree with any part of these Terms, you must not use our services.

You must be at least 18 years old to use Jackob.ai. By using our services, you represent that you meet this age requirement.

Jackob.ai provides AI-powered transcription services that convert audio and video files into text. Our services include:

• Audio and video file transcription in 98 languages
• Multiple export formats (PDF, DOCX, TXT, SRT, VTT)
• Web-based audio player synchronized with transcriptions
• Project organization and management tools
• Advanced features (profanity detection, sentiment analysis, text translation, audio cleanup) on paid plans
• Cloud storage and data retention based on your subscription plan

We use advanced machine learning models and AWS infrastructure to process your files. While we strive for high accuracy, transcription quality depends on audio quality, speaker clarity, background noise, and other factors.

Transcription Accuracy and Limitations:

AI transcription is not 100% accurate. You acknowledge and agree that:

• Transcriptions may contain errors, omissions, or inaccuracies
• Accuracy depends on audio quality, speaker clarity, accents, background noise, and technical terminology
• Speaker identification may be incorrect or incomplete
• Timestamps may not be perfectly synchronized
• You must review and verify transcriptions before relying on them for any critical purpose
• We are not liable for decisions made based on transcription errors

For critical use cases (legal, medical, financial), we strongly recommend human review and verification.

Multi-Language Support:

While we support transcription in 98 languages, accuracy varies by language:

• English and major European languages have the highest accuracy
• Less common languages may have reduced accuracy
• Language detection is automatic but may not always be correct
• You can manually specify the language for better results

Account Creation:

• You must provide accurate, current, and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must not share your account with others or allow unauthorized access
• You are responsible for all activities that occur under your account

Authentication Methods:

We support authentication through Google, Apple, Microsoft, and Amazon Cognito. By using these services, you agree to their respective terms and privacy policies.

Multi-Factor Authentication:

We offer optional multi-factor authentication (MFA) for enhanced security. We strongly recommend enabling MFA to protect your account.

Account Security:

• Notify us immediately of any unauthorized access or security breach
• You are liable for any losses resulting from unauthorized use of your account
• We reserve the right to suspend accounts showing suspicious activity

Corporate Email Domains:

If you create an account using an email address owned by an organization (e.g., your employer such as name@company.com), your account may be linked to the organization's business account with us. We will provide notice to you before linking your account to an organization's business account. However, if the organization is responsible for notifying you or has already informed you that it may monitor and control your account, we may not provide additional notice.

Once your account is linked to an organization's business account:

• The organization's administrator may be able to monitor and control your account
• The administrator may have access to your transcriptions and other account data
• The administrator may restrict or remove your access to the account
• The organization may have its own policies governing your use of the service

If you do not want your account to be subject to organizational control, use a personal email address (e.g., Gmail, Yahoo, etc.) instead of a work email address.

Jackob.ai offers the following subscription plans:

Free Plan ($0/month):

• 15 minutes of audio/video transcription per month
• 30 days data retention
• Basic features and export formats

Plus Plan ($25/month):

• 10 hours of transcription per month
• 6 months data retention
• Advanced features (profanity detection, sentiment analysis, translation, audio cleanup)

Pro Plan ($60/month):

• 30 hours of transcription per month
• 12 months data retention
• All advanced features

Premium Plan ($90/month):

• 50 hours of transcription per month
• 12 months data retention
• All advanced features

Important Usage Policy:

• All prices are in USD
• Usage limits are based on audio/video duration, not file size
• Unused minutes/hours do NOT roll over to the next billing period
• Your transcription quota resets at the beginning of each monthly billing cycle
• Any unused balance from the previous month is forfeited and does not carry forward
• This is standard practice for SaaS subscription services

Payment Processing:

• All payments are processed securely through PayPal
• You must provide valid payment information to subscribe to paid plans
• We do not store your full payment card details

Billing Cycle:

• Subscription fees are billed monthly in advance
• Your subscription automatically renews each month unless cancelled
• Billing occurs on the same day each month as your initial subscription date
• If a billing date falls on a day that doesn't exist in a given month (e.g., 31st), billing occurs on the last day of that month

Price Changes:

• We reserve the right to modify subscription prices
• You will receive at least 30 days advance notice of any price increases
• Price changes will take effect at your next billing cycle after the notice period
• Continuing to use the service after a price change constitutes acceptance of the new price

Failed Payments:

• If a payment fails, we will attempt to process it up to 3 times
• Your account may be downgraded or suspended if payment cannot be processed
• You remain responsible for any outstanding fees

No Refunds:

Except as expressly provided in these Terms or where required by applicable law, all payments for subscriptions and services are non-refundable. Please review your order carefully before confirming your purchase.

Cancellation:

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• You will not receive a refund for the remaining portion of your billing period
• You retain access to all features and data until the subscription expires

Legal Requirements:

If you are a resident of a jurisdiction that provides a legal right to cancel within a specific period (e.g., Brazil, Mexico, South Korea, Taiwan, or European Union countries), you may have additional cancellation rights under local law. To exercise such rights, contact us at privacy@jackob.ai within the applicable cancellation period specified by your local law.

Service Termination by Us:

• If we terminate your subscription due to your violation of these Terms, you will not be entitled to any refund
• If we terminate your subscription for reasons other than your violation (e.g., discontinuing the service), we may provide a pro-rata refund for the unused portion of your subscription at our discretion

Billing Disputes:

If you believe you have been incorrectly charged, contact billing@jackob.ai within 30 days of the charge. We will investigate and resolve billing errors promptly. Undisputed charges remain your responsibility.

YOUR CRITICAL RESPONSIBILITY:

You are solely and exclusively responsible for ensuring that any audio or video recordings you upload to Jackob.ai were obtained legally and with all necessary consents required by applicable law.

Your Legal Obligations Include:

• Consent Requirements: Obtaining explicit consent from all parties being recorded where required by law (one-party or two-party consent states/countries)
• Legal Compliance: Complying with all local, state, federal, and international recording laws
• Privacy Rights: Respecting privacy rights, wiretapping laws, and data protection regulations
• Ownership Rights: Ensuring you have the legal right to record, possess, and transcribe the content
• Prohibited Content: Not uploading recordings obtained through illegal surveillance, wiretapping, or unauthorized recording

Jackob.ai's Position:

Jackob.ai is a technology service provider that processes files you provide. We:

• Do NOT verify the legality of recordings or consent status of recorded parties
• Do NOT assume responsibility for how recordings were obtained
• Do NOT provide legal advice regarding recording laws
• Are NOT liable for your violations of recording laws or privacy regulations
• Are NOT responsible for any legal consequences arising from your use of illegally obtained recordings

Your Warranties:

By uploading any content to Jackob.ai, you represent and warrant that:

• All uploaded recordings comply with applicable laws
• You have obtained all necessary rights, permissions, and consents
• You have the legal authority to record and transcribe the content
• The content does not violate any third-party rights
• You will indemnify and hold Jackob.ai harmless from any claims arising from your violations

Consequences of Violations:

• Immediate account termination without refund
• Deletion of all your data
• Reporting to law enforcement if required
• Legal action to recover damages
• You remain solely liable for all legal consequences

Your Content:

• You retain all ownership rights to your audio/video files and transcriptions
• By uploading content, you grant us a limited license to process, store, and transcribe your files
• This license terminates when you delete your content or close your account
• We do not claim any ownership of your content

Our Intellectual Property:

• Jackob.ai, our logo, technology, and services are protected by intellectual property laws
• You may not copy, modify, distribute, or reverse engineer our services
• You may not use our trademarks without written permission

Model Improvement:

• You can opt-in to allow your data to be used for improving our AI models
• This is entirely optional and can be disabled in your account settings
• If enabled, your data is anonymized and used only for model training

Your Ownership of Content:

As between you and Jackob.ai, and to the extent permitted by applicable law:

• You retain full ownership of all audio and video files you upload ("Input")
• You own the transcription output we generate from your Input ("Output")
• We hereby assign to you all our right, title, and interest, if any, in and to the Output
• You have the right to use, modify, distribute, and commercialize your transcriptions without restriction

License You Grant to Us:

By uploading content to Jackob.ai, you grant us a limited, non-exclusive, worldwide license to:

• Process and transcribe your audio/video files
• Store your files and transcriptions on our servers
• Display your transcriptions to you through our interface
• Use your content for security, fraud prevention, and legal compliance purposes
• Use your content to improve our services (only if you opt-in to the Model Improvement Program)

License Termination:

• This license automatically terminates when you delete your content
• This license terminates when you close your account
• We will delete your content according to our retention policy after termination
• Backup copies may persist for up to 90 days for disaster recovery purposes

What We Do NOT Do With Your Content:

• We do NOT claim ownership of your files or transcriptions
• We do NOT sell your content to third parties
• We do NOT use your content for advertising or marketing purposes
• We do NOT share your content with AI companies or model providers (we use self-hosted models)
• We do NOT train our models on your data unless you explicitly opt-in

Your Representations and Warranties:

By uploading content, you represent and warrant that:

• You own or have the necessary rights to all uploaded content
• Your content does not infringe any third-party intellectual property rights
• You have obtained all necessary consents and permissions
• Your content complies with all applicable laws and regulations

Storage Infrastructure:

• Files are stored on AWS S3 across multiple global regions
• We automatically select the optimal region for performance
• All data is encrypted at rest and in transit

Retention Periods:

• Free Plan: 30 days
• Plus Plan: 6 months
• Pro/Premium Plans: 12 months

After the retention period, data is automatically deleted. You can manually delete data at any time.

Non-Unique Output:

Due to the nature of AI transcription technology and the deterministic behavior of our models, you acknowledge and agree that:

• Transcriptions may not be unique: If multiple users upload identical or very similar audio content, they will receive identical or very similar transcriptions
• Similar audio produces similar text: Our AI models transcribe audio consistently, meaning the same spoken words will generally produce the same written text
• No exclusive rights to transcription patterns: You do not receive exclusive rights to common words, phrases, or sentence structures that appear in your transcriptions
• Other users may receive similar output: Other Jackob.ai users may receive transcriptions that are identical or similar to yours if their audio content is similar

What This Means:

• While you own your specific transcription output (as stated in Section 9), this ownership does not prevent others from receiving similar transcriptions
• Our assignment of rights to you (Section 9) does not extend to other users' transcriptions, even if similar to yours
• You cannot claim that another user's transcription infringes your rights solely because it is similar to yours
• Common transcription patterns (e.g., "Hello, how are you?") are not unique to any single user

Your Original Audio Remains Yours:

This section applies only to transcription text output. Your original audio and video files remain your exclusive property, and other users cannot access or use your original recordings.

Service Availability:

• We strive to maintain high service availability but do not guarantee 100% uptime
• Scheduled maintenance will be announced in advance when possible
• We are not liable for service interruptions due to factors beyond our control

AI-Powered Service - Accuracy Limitations:

IMPORTANT: Jackob.ai uses artificial intelligence (AI) technology for transcription, translation, and advanced features. While we strive for high accuracy, AI is not perfect and may produce errors, mistakes, and inaccuracies.

Transcription Accuracy:

• We use advanced AI models, but we cannot guarantee 100% accuracy in transcriptions
• Transcription quality depends on audio quality, speaker clarity, accents, background noise, technical terminology, and other factors
• AI may misinterpret words, miss words entirely, miss context, or make errors in punctuation and formatting
• You must review and verify all transcriptions, especially for critical, legal, medical, or safety-related use cases
• We are not liable for any consequences arising from transcription errors or inaccuracies

Translation Accuracy:

• Our AI-powered translation feature may contain errors, mistranslations, or inaccuracies
• Translations may not capture nuances, idioms, cultural context, or technical terminology correctly
• We do not guarantee the accuracy or completeness of translations
• For critical translations, consult a professional human translator

Advanced Features (Translation, Profanity Detection, Sentiment Analysis, Audio Cleanup):

• These AI-powered features are not 100% accurate and may produce false positives or false negatives
• Translation may contain errors or mistranslations
• Profanity detection may miss offensive content or incorrectly flag innocent words
• Sentiment analysis is subjective and may misinterpret tone, sarcasm, or context
• Audio cleanup may not remove all noise or may affect audio quality
• Do not rely solely on these features for content moderation or critical decisions

Your Responsibility:

• You acknowledge that AI technology has inherent limitations
• You are responsible for reviewing, verifying, and correcting all AI-generated content
• You assume all risk associated with relying on AI-generated transcriptions, translations, or analysis
• We strongly recommend human review for any critical, legal, medical, financial, or safety-related content
• You are solely responsible for ensuring you do not violate the rights or privacy of your clients, customers, patients, or any third parties when using our services for legal, medical, professional, or business purposes
• You must comply with all applicable professional confidentiality requirements, privacy laws, and ethical obligations regarding the content you upload and transcribe

Processing Time:

• Typical processing time is 15-40 minutes per hour of audio/video
• We use large AI models for maximum accuracy rather than small models that are faster but less accurate
• Processing time varies based on multiple factors:
  • Your side: File size, audio/video duration, audio quality, background noise, file format, upload speed
  • Our side: Processing speed, model size & architecture, available compute resources, system load & queueing
• We use AWS Batch with GPU acceleration for efficient processing

Third-Party Services We Use:

Jackob.ai integrates with and relies on various third-party services to provide our platform. These include:

• Payment Processing: PayPal for subscription billing and payment processing
• Cloud Infrastructure: Amazon Web Services (AWS) for storage (S3), databases (RDS), and compute (Batch)
• Authentication Providers: Google, Apple, Microsoft, and Amazon Cognito for user authentication
• AI Models: Open-source Whisper models (self-hosted on our infrastructure)

Third-Party Terms Apply:

• Your use of these third-party services through Jackob.ai is subject to their respective terms of service and privacy policies
• We are not responsible for the terms, policies, or practices of third-party services
• You agree to comply with all applicable third-party terms when using our services
• We do not control and are not responsible for third-party services' availability, functionality, or security

No Endorsement:

• Our use of third-party services does not constitute an endorsement of those services
• References to third-party services in our documentation or interface do not imply affiliation or partnership
• Third-party service providers are not affiliated with Jackob.ai unless explicitly stated

Third-Party Service Disruptions:

• We are not liable for service interruptions caused by third-party service failures
• If PayPal, AWS, or authentication providers experience outages, our service may be affected
• We will make reasonable efforts to notify you of known third-party service issues
• We are not responsible for data loss or damages resulting from third-party service failures

Changes to Third-Party Services:

• We may change, add, or remove third-party service integrations at any time
• We will provide notice of material changes to third-party integrations when reasonably possible
• If a critical third-party service becomes unavailable, we may need to modify or discontinue certain features

Your Responsibility:

You are responsible for reviewing and complying with the terms and privacy policies of:

You may not use Jackob.ai to:

• Upload illegally obtained recordings or content without proper consent
• Violate any laws, regulations, or third-party rights
• Upload copyrighted content without authorization
• Transcribe content containing illegal material
• Attempt to reverse engineer, hack, or compromise our systems
• Use automated tools to abuse our service or circumvent usage limits
• Resell or redistribute our services without authorization
• Upload malware, viruses, or malicious code
• Harass, threaten, or harm others
• Impersonate others or misrepresent your affiliation

Reporting Violations:

If you become aware of content, activity, or conduct that violates these Terms, our Acceptable Use Policy, or applicable law, please report it to us immediately at privacy@jackob.ai. Your report should include:

• A description of the violation
• Any relevant evidence or documentation
• Your contact information (if you wish to receive follow-up)

Our Response to Violations:

We reserve the right to investigate reported violations and take appropriate action, which may include:

• Removing or disabling access to content that violates our Terms
• Suspending or terminating accounts that violate our Terms
• Reporting illegal activity to law enforcement authorities
• Taking legal action to protect our rights and the rights of others

We will review reports and take action as appropriate, but we are not obligated to remove content or take action in every case. We may, but are not required to, provide you with information about the outcome of your report.

Consequences of Violations:

Violations of these Terms or our Acceptable Use Policy may result in:

• Immediate account suspension or termination without refund
• Deletion of all your data and transcriptions
• Permanent ban from using our services
• Reporting to law enforcement if required by law
• Legal action to recover damages or enforce our rights

Mobile and Desktop Applications:

Jackob.ai may provide mobile applications for iOS and Android, as well as desktop applications, to access our services (collectively, "Software").

Automatic Updates:

• Our Software may automatically download and install updates to ensure you are using the latest version
• Updates may include new features, bug fixes, security patches, and performance improvements
• You may not be able to use older versions of the Software after updates are released
• Some updates may be required to continue using the service
• We recommend keeping automatic updates enabled for security and optimal performance

Software License:

• We grant you a limited, non-exclusive, non-transferable, revocable license to use our Software
• This license is solely for accessing and using Jackob.ai services for your personal or business use
• You may not copy, modify, distribute, sell, or lease any part of our Software
• You may not reverse engineer, decompile, or attempt to extract the source code of our Software (except where prohibited by law)

Open Source Software:

• Our Software may include open-source software components
• Open-source components are governed by their respective open-source licenses
• We will make available the applicable open-source licenses and attributions
• Some open-source licenses may grant you additional rights beyond this agreement

Platform-Specific Terms:

• iOS: Downloaded from Apple App Store, subject to Apple's App Store Terms of Service
• Android: Downloaded from Google Play Store, subject to Google Play Terms of Service
• Platform providers (Apple, Google) are not responsible for our Software or services
• Platform providers have no obligation to provide support or maintenance for our Software

Device Requirements:

• Our Software requires compatible devices and operating systems
• We may discontinue support for older operating system versions
• You are responsible for maintaining compatible devices and internet connectivity
• We are not responsible for device compatibility issues or carrier data charges

Uninstallation:

You may uninstall our Software at any time. Uninstalling the Software does not cancel your subscription or delete your account. You must separately cancel your subscription through your account settings or contact us.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Jackob.ai is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for data loss, business interruption, or lost profits
• We are not liable for third-party actions or content

Some jurisdictions do not allow certain liability limitations, so these may not apply to you.

You agree to indemnify, defend, and hold harmless Jackob.ai, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your uploaded content, including illegally obtained recordings
• Your breach of recording consent requirements

Export Control Laws:

Jackob.ai services and technology are subject to export control and sanctions laws and regulations, including those of the United States and the European Union. You agree to comply with all applicable trade laws.

Prohibited Countries and Entities:

You may not use Jackob.ai services if you are located in, or a resident of, any country or region that is subject to comprehensive sanctions, including but not limited to:

• Cuba
• Iran
• North Korea
• Syria
• Crimea, Donetsk, and Luhansk regions of Ukraine
• Any other country or region subject to comprehensive U.S. or EU sanctions

Restricted Parties:

You represent and warrant that you are not:

• Listed on any government restricted parties list, including the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Denied Persons List
• Owned or controlled by, or acting on behalf of, any person or entity on a restricted parties list
• Located in or a resident of a country or region subject to comprehensive sanctions
• Engaged in activities prohibited by applicable export control or sanctions laws

Prohibited End Uses:

You may not use Jackob.ai services for any end use prohibited by applicable trade laws, including:

• Development, production, or use of nuclear, chemical, or biological weapons
• Development or production of missiles or unmanned aerial vehicles
• Military or intelligence applications in prohibited countries
• Any activity that would violate U.S. or EU export control or sanctions laws

Controlled Content:

• You may not upload content that requires a government license for export or re-export
• You may not upload content subject to export control restrictions without proper authorization
• You are responsible for determining whether your content is subject to export controls

U.S. Infrastructure:

Our services use U.S.-based infrastructure (AWS regions in the United States) and may be subject to U.S. jurisdiction and export control laws, even if you are located outside the United States.

Compliance Responsibility:

• You are solely responsible for complying with all applicable export control and sanctions laws
• You must obtain any required export licenses or authorizations before using our services
• We reserve the right to suspend or terminate accounts that violate trade control laws
• We may be required to report violations to government authorities

Changes to Sanctions:

Sanctions and export control laws change frequently. We reserve the right to modify our services or restrict access to comply with new or updated trade control requirements.

By You:

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• You can delete your account and all data through account settings

By Us:

• We may suspend or terminate your account for violations of these Terms
• We may terminate accounts showing fraudulent or abusive behavior
• We may discontinue the service with 30 days notice

Effect of Termination:

• Your access to the service will cease
• Your data will be deleted according to our retention policy
• You remain liable for any outstanding fees
• Provisions that should survive termination will continue to apply

We may modify these Terms at any time. We will notify you of material changes by:

• Email to your registered address
• Prominent notice on our website
• In-app notifications

Changes take effect 30 days after notification. Your continued use after changes become effective constitutes acceptance. If you disagree with changes, you must stop using the service.

Governing Law:

These Terms are governed by the laws of the jurisdiction in which the Company is incorporated, without regard to conflict of law principles.

Informal Dispute Resolution:

Before filing any formal dispute, we encourage you to contact us at privacy@jackob.ai to seek an informal resolution. We will attempt to resolve disputes informally within 60 days. This informal process is required before initiating arbitration or litigation.

Binding Arbitration:

• If informal resolution fails, disputes will be resolved through binding arbitration at the Company's principal place of business
• Arbitration will be conducted by a single arbitrator under applicable arbitration rules
• The arbitrator's decision will be final and binding
• You waive the right to participate in class actions or class arbitrations
• Each party will bear their own costs and attorneys' fees unless the arbitrator decides otherwise

OPT-OUT OF ARBITRATION:

You have the right to opt out of binding arbitration within 30 days of creating your account or within 30 days of any updates to these arbitration terms.

• How to Opt Out: Send an email to privacy@jackob.ai with the subject line "Arbitration Opt-Out"
• Required Information: Include your full name, account email address, and a clear statement that you wish to opt out of arbitration
• Deadline: Must be received within 30 days of account creation or within 30 days after any arbitration term updates take effect
• Effect of Opt-Out: If you opt out, disputes will be resolved in the courts of the Company's principal place of business, instead of arbitration
• Opt-Out is Permanent: Once you opt out, you cannot later choose arbitration for that dispute

Exceptions to Arbitration:

• Either party may seek injunctive relief in court for intellectual property violations
• Small claims court proceedings are permitted (up to the jurisdictional limit)
• Either party may seek emergency equitable relief before arbitration is initiated

Class Action Waiver:

You and Jackob.ai agree that disputes must be brought on an individual basis only. You waive any right to bring claims as a class action, collective action, or representative proceeding. This waiver applies whether the dispute is resolved through arbitration or in court.

Entire Agreement: These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Jackob.ai.

Severability: If any provision is found unenforceable, the remaining provisions continue in effect.

Waiver: Our failure to enforce any right does not waive that right.

Assignment: You may not assign these Terms. We may assign our rights and obligations.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
